These Terms & Conditions (“Terms”) govern your use of the bizoversal.com website and your engagement of our services. By using our website, booking a consultation, or purchasing any service from bizOversal (“we”, “us”, or “our”), you agree to be bound by these Terms. If you do not agree, please do not use our services.

Services we provide

Our services include but are not limited to:

  • Business registration assistance (Pvt Ltd, LLP, OPC, Partnership, Proprietorship)
  • GST, MSME, Udyam, and Trademark registration support
  • Logo design, brand identity, and content creation
  • Website and e-commerce store development
  • Digital marketing services (SEO, paid ads, social media management, email marketing)
  • Ongoing compliance services (GST filing, ROC compliance, accounting setup)
  • Business automation and growth services

The scope, deliverables, timeline, and pricing for each engagement are confirmed in writing before work begins, via a quote or service proposal.

Engagement and quotes

All service engagements with bizOversal follow this process:

  • Consultation — a free 30-minute call to understand your needs
  • Proposal — a written quote outlining scope, deliverables, timeline, and total cost
  • Acceptance — you confirm the quote in writing (email or WhatsApp acceptance is acceptable)
  • Payment — advance payment as per the agreed terms (typically 50% advance, 50% on delivery, unless specified otherwise)
  • Execution — we begin work after advance payment is received

Quotes are valid for 30 days from the date of issue unless otherwise specified.

Pricing and payment

Our pricing is structured as follows:

  • Service fees are quoted exclusive of GST. GST at the prevailing rate will be added to all invoices.
  • Government charges (registration fees, stamp duty, trademark filing fees, etc.) are passed through at actual cost and shown separately on invoices.
  • Third-party costs (domain registration, hosting, paid ad spend, premium tools) are billed at actual cost.
  • Payment methods — UPI, bank transfer, debit/credit cards, and net banking via Razorpay.
  • Late payment — overdue invoices may attract interest at 18% per annum and may result in suspension of services.

Client responsibilities

For us to deliver effectively, you agree to:

  • Provide accurate and complete information about your business
  • Share required documents (KYC, business proofs, content, brand assets) in a timely manner
  • Respond to our queries and approval requests within a reasonable timeframe
  • Make payments as per the agreed schedule
  • Ensure all information and content you provide is accurate, legal, and does not infringe third-party rights

Project delays caused by delayed responses or missing information from your side will extend our delivery timeline accordingly.

Delivery timelines

Delivery timelines mentioned in proposals are estimates based on:

  • Timely receipt of advance payment
  • Timely sharing of required documents and information
  • Reasonable approval turnaround from your end
  • Standard processing times at government departments (where applicable)

While we commit to clear timelines and regular updates, certain government processes (PAN, GST, trademark, ROC approvals) depend on third-party departments and are outside our direct control. We are not liable for delays caused by such third parties, including but not limited to MCA, GSTN, IPI, or banks.

Revisions and approvals

For creative and development work (logo, website, brand identity, copy):

  • The number of included revision rounds is specified in your proposal
  • Additional revisions beyond the included scope will be quoted separately
  • Deliverables are considered approved if no feedback is received within 7 working days of delivery
  • Final files are released only after full payment is received

Intellectual property

Your IP: All content, brand assets, and business information you share with us remains your property. We use it only to deliver the services you have engaged us for.

Our IP: Our proprietary processes, templates, frameworks, and methodologies remain our property. You receive a licence to use the deliverables we create for you.

Deliverable ownership: Upon full payment, you own the final deliverables (logo, website, brand assets, content). We retain the right to display these deliverables in our portfolio and marketing materials unless you specifically request otherwise in writing.

Third-party assets: Where our deliverables include third-party assets (stock images, fonts, plugins), licensing is governed by the original provider’s terms.

Cancellations and refunds

Cancellation and refund terms are detailed separately in our Refund Policy. By engaging our services, you agree to those terms.

10.
Limitation of liability

To the maximum extent permitted by law:

  • Our total liability for any claim arising from our services is limited to the fees paid by you for that specific service
  • We are not liable for indirect, consequential, or incidental damages (lost revenue, business interruption, lost opportunities)
  • We are not responsible for delays or rejections by government departments, banks, or third-party service providers
  • We are not liable for any losses arising from inaccurate or incomplete information provided by you
  • We are not responsible for the performance of advertising campaigns, SEO rankings, or business outcomes — these depend on multiple factors outside our direct control

11.
Confidentiality

Both parties agree to maintain confidentiality regarding any non-public business, financial, or strategic information shared during the engagement. This obligation continues for 2 years after the engagement ends.

12.
Termination

Either party may terminate an engagement by written notice:

  • By you — at any time, subject to payment for work completed up to the termination date (see Refund Policy)
  • By us — if you breach these Terms, fail to make timely payments, or engage in conduct that makes the engagement unworkable

On termination, we will deliver work completed up to that date upon settlement of all outstanding amounts.

13.
Indemnification

You agree to indemnify and hold bizOversal harmless from any claims, damages, or losses arising from:

  • Inaccurate or false information you provide to us
  • Content or assets you provide that infringe third-party rights
  • Your business activities and decisions
  • Your breach of these Terms or applicable laws

14.
Governing law and jurisdiction

These Terms are governed by the laws of India. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts in [Your City], India.

Before initiating any legal action, both parties agree to attempt resolution through good-faith discussion and, if needed, mediation.

15.
Changes to these terms

We may update these Terms from time to time. The “Last updated” date at the top reflects when the most recent changes were made. For ongoing service engagements, material changes will be communicated to you in writing.
